Echo Points Terms of Service

1. Who we are and what these Terms cover

Echo Points is a service provided by FunnelStart LLC, a Connecticut limited liability company (“Echo Points,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) govern access to and use of echo-points.com, the Echo Points application and dashboard, and all related features, tools, and services (collectively, the “Service”).

These Terms apply to two categories of users:

  • Businesses: companies and individuals who create an Echo Points account to operate a rewards program and collect reviews for their business (each a “Business” or “you”).
  • Participants: customers of a Business who scan that Business’s Echo Points code or open its link (each a “Participant”). If you are a Participant, Section 12 applies to you, together with Sections 1, 2, 8, 11, and 13 through 18. You do not need an account. We do not require your name, email address, or phone number, and by default we do not collect them.

By creating an account, scanning a code, opening a link, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy (echo-points.com/privacy-policy), which is incorporated by reference. Businesses also agree to our Refund Policy (echo-points.com/refund-policy). If you do not agree to these Terms, you may not use the Service.

2. Eligibility

To create a Business account, you must be at least 18 years old and legally able to form a binding contract. If you use the Service on behalf of a company or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” includes that entity. Participants must be at least 13 years old.

3. What the Service does and does not do

What it does. The Service allows a Business to generate a code or link for a transaction, credit points to the Participant who scans it, invite that Participant to leave a review, and direct the Participant to the Business’s own payment method.

Payments. The Service does not process, hold, or transmit payments. When a Participant chooses to pay, the Participant is directed to a third-party payment method selected by the Business, or pays the Business directly in cash. Echo Points is not a party to that payment, does not receive funds, and does not receive payment card or bank account details. Any dispute concerning a payment is solely between the Participant, the Business, and the applicable payment provider.

Reviews. The Service does not post reviews. If a Participant chooses to leave a review, the Service may help the Participant draft it and then directs the Participant to a third-party review platform, where the Participant alone decides whether to post it. Echo Points does not control whether a review is published, retained, edited, or removed by that platform.

Changes to the Service. We may modify, suspend, or discontinue any part of the Service at any time. Where a change materially reduces the functionality available to paid Businesses, we will provide reasonable advance notice (generally at least 14 days) by email or through the application, except where a change is required for security, legal, or operational reasons that make advance notice impractical.

4. Accounts and access

Businesses sign in using a one-time link sent to the account email address. Each link expires after a limited time and may be used only once.

After signing in, your account may be accessible through a personal sign-in address. Treat that address as you would a password: anyone who has it can access your account. Do not share it, post it publicly, or leave it open in a shared browser. You are responsible for maintaining the security of your account email and your sign-in address, for all activity that occurs under your account, and for notifying us promptly at support@echo-points.com if you believe your account has been accessed without authorization. We are not liable for any loss resulting from unauthorized use of your email account or your sign-in address.

You must keep your account information accurate and current, including your business name, the payment method to which Participants are directed, and the review link to which Participants are sent. If that information is inaccurate, Participants may be directed to the wrong destination, and you are solely responsible for the consequences.

5. Plans, fees, and billing

Plans. The Service is offered on a free plan and on one or more paid subscription plans. Current plans, pricing, and the usage limits that apply to each are described at echo-points.com/sign-up and may be updated from time to time. Unless otherwise stated, usage limits reset at the start of each calendar month.

Reaching a plan limit. If your account reaches a plan limit, Participants who scan your code will still be able to see your payment option and pay you. New transactions and review prompts pause until the limit resets or you upgrade. We will not prevent a Participant from reaching your payment method because of a plan limit, and points already credited are not removed because of a plan limit.

Billing. Paid plans are billed in advance through our third-party payment processor (currently Stripe). We do not store full card numbers. Fees are exclusive of taxes, and you are responsible for any sales, use, value-added, or similar taxes, other than taxes on our income. Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then. Refunds are governed by the Refund Policy.

Price changes. We may change our prices from time to time. We will provide at least 30 days’ notice of any price increase by email or through the application. The new price applies beginning with your next renewal after the notice period ends. If you do not agree to the new price, you may cancel before that renewal.

Failed payments. If a payment fails, we may retry the charge and will notify you. If payment is not received within 14 days of the original due date, we may move your account to the free plan, with the limits and branding that apply to that plan. We do not delete your data because of a failed payment.

Branding. Accounts on the free plan display an Echo Points promotional banner on Participant-facing screens. Paid plans remove that banner. A small “Powered by Echo Points” notice remains on Participant-facing screens on all plans.

6. Business responsibilities for rewards

You, the Business, are solely responsible for the rewards program you operate through the Service. Specifically:

  • You determine the points rate, the rewards offered, and the conditions that apply, and you may change them at any time, subject to applicable law.
  • You, not Echo Points, are responsible for honoring the rewards a Participant has earned. Echo Points does not fund, guarantee, insure, or redeem any reward.
  • You are responsible for compliance with all laws that apply to your rewards program, including consumer protection, gift card and stored value, unclaimed property, tax, and advertising laws in each jurisdiction where you operate.
  • If you close your account or discontinue your rewards program, you are responsible for how you handle Participants’ outstanding points and for any required notices to Participants.

7. Business responsibilities for reviews

The review feature exists to make it easy for a genuine customer to describe a genuine experience. As a Business, you agree that you will:

  • Comply with the content and review policies of every platform to which your Participants are directed, including Google’s Maps user-contributed content policies and Google Business Profile policies, as updated from time to time.
  • Not offer, condition, or imply that any reward, discount, points, or other benefit depends on whether a Participant leaves a review, on the rating the Participant gives, or on what the Participant writes. Points in the Service are credited for the transaction and never for the review, and you must not represent otherwise to Participants.
  • Not use the Service to route Participants with lower ratings away from public review platforms, to suppress or discourage negative reviews, or to solicit reviews from individuals who are not your customers.
  • Not write, edit, or post reviews on behalf of Participants, and not ask employees, family members, or other individuals without a genuine customer experience to post reviews.

We may suspend the review feature, or your account, if we reasonably believe you are violating this Section. You are solely responsible for any action a review platform takes against your listing or profile.

8. Acceptable use

You may not use the Service to violate any law or regulation; to send spam or unsolicited communications; to impersonate any person or entity; to collect or attempt to collect information about Participants beyond what the Service provides; to interfere with, disrupt, reverse engineer, scrape, or overload the Service or its infrastructure; to upload or transmit malicious code; to circumvent plan limits or access controls; or to infringe or violate the rights of any third party. We may remove content or suspend or terminate accounts that we reasonably believe violate this Section.

9. Your content

You retain ownership of the content you submit to the Service, including your business name, logo, reward descriptions, and settings (“Business Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process Business Content as reasonably necessary to operate, provide, and improve the Service and to display it to your Participants. You represent and warrant that you have all rights necessary to provide Business Content and that it does not infringe or violate the rights of any third party.

Review text drafted by a Participant belongs to the Participant. We store it so that the Business can view it and so that the Participant can post it to a review platform. We do not publish it ourselves.

10. Our intellectual property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by FunnelStart LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited right to access and use the Service in accordance with these Terms, we grant you no rights in or to the Service. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service, or remove any proprietary notices. Any feedback, suggestions, or ideas you provide about the Service may be used by us for any purpose without obligation or compensation to you.

11. Third-party services

The Service links to and operates alongside services we do not control, including payment providers, review platforms, and email providers. Those services are governed by their own terms and privacy policies. We do not endorse and are not responsible for the availability, content, actions, or policies of any third-party service, or for any loss arising from your or a Participant’s use of them.

12. Program Participant Terms

This Section applies to Participants, meaning customers who scan a Business’s Echo Points code or open its link. By tapping the button to continue and collect points, you agree to this Section and to the other Sections identified in Section 1. If you do not agree, you may use the link provided to proceed directly to the Business’s payment method without using the Service.

No account, no personal details required. You do not create an account. The Service stores a small identifier in your browser so that your points balance is recognized when you scan the same Business’s code again. If you clear your browser data or use a different device or browser, your balance may not be available.

Some Businesses may enable an optional feature that asks for an email address so you can access your points from another device. Where that feature is enabled, the screen you see will say so before you continue, and providing your email address is voluntary. Where it is not enabled, we collect no contact details from you.

Points. Points are issued by the Business whose code you scanned, under that Business’s program rules. Points have no cash value, cannot be exchanged for cash, cannot be transferred or sold, and may expire, change, or be withdrawn by the Business. Points are credited for your transaction with the Business. Echo Points does not issue, fund, or redeem points and is not responsible if a Business does not honor them. Questions about your points or rewards should be directed to the Business.

Reviews are voluntary. You may be invited to leave a review. You are never required to do so. Leaving a review, declining to leave one, or the rating you choose has no effect on your points or rewards. If you choose to write a review, the Service may offer suggested starting text; any review you post must reflect your own genuine experience in your own words. You alone decide whether to post it on the review platform, and that platform’s policies govern what you post.

Payments. The Service does not take your payment. When you choose to pay, you are directed to the Business’s own payment method or you pay the Business directly. Echo Points does not receive your money and does not receive your card or bank details. Any payment issue is between you and the Business.

Your privacy. The information we collect from you and how we use it is described in the Privacy Policy at echo-points.com/privacy-policy. We do not sell your information and do not use it for advertising.

13. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT ANY DEFECT WILL BE CORRECTED; THAT ANY REVIEW WILL BE POSTED, PUBLISHED, OR RETAINED BY ANY PLATFORM; THAT YOUR SEARCH RANKING, REVIEW COUNT, OR RATING WILL IMPROVE; OR THAT ANY PARTICIPANT WILL RETURN OR MAKE A PURCHASE.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ECHO POINTS AND FUNNELSTART LLC, AND THEIR RESPECTIVE OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) FIFTY US DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OR EXCLUSIONS, SO SOME OR ALL OF THIS SECTION MAY NOT APPLY TO YOU.

15. Indemnification

If you are a Business, you agree to defend, indemnify, and hold harmless FunnelStart LLC and its owners, members, managers, employees, contractors, and agents from and against any claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising from or related to your rewards program, your review practices, your Business Content, your use of the Service, your violation of these Terms or any applicable law, or any dispute between you and a Participant.

16. Suspension and termination

You may close your account at any time. We may suspend or terminate your account upon notice if you breach these Terms, and immediately without prior notice if the breach is serious (for example, fraud, review manipulation, or unlawful use), if we are required to do so by law, or if continued operation of your account would create a risk to the Service or to other users. We may also terminate your account for convenience upon 30 days’ notice. Following termination, you may request an export of your account data within 90 days; after that period we may delete it. Sections that by their nature should survive termination (including Sections 6, 7, 9, 10, 11, 12, 13, 14, 15, 17, and 18) will survive.

17. Governing law and disputes

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-laws rules. Before filing any claim, you agree to contact us at support@echo-points.com and to attempt in good faith to resolve the dispute informally for a period of 30 days. Any claim not resolved through that process will be brought exclusively in the state or federal courts located in Fairfield County, Connecticut, and you consent to the personal jurisdiction of and venue in those courts. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

18. General

Changes to these Terms. We may update these Terms from time to time. For material changes affecting Businesses, we will provide reasonable advance notice (generally at least 14 days) by email or through the application before the changes take effect. Non-material changes may take effect upon posting. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of them. The current version is always available at echo-points.com/terms-of-service.

Notices. We may provide notices to you at your account email address or through the application. You may contact us at support@echo-points.com or at the mailing address below.

Entire agreement. These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreements or understandings on that subject.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

Severability and waiver. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet or utility failures, or failures of third-party services.
